Restaurant subscription agreement

Draft for owner review. Subscription checkout is not activated under this draft.
Version subscription-2026-11-02-v6 · Prepared October 31, 2026

This agreement is between on your left R&D limited, a Colorado limited liability company (the “Company,” “we,” or “us”), operating dolorez., and the restaurant business identified in the subscription enrollment (“Restaurant,” “you”). An individual enrolling represents that they have authority to bind that business. Business use only.

1. Agreement and order of documents

By expressly accepting these terms and completing subscription enrollment, you enter this agreement. Your accepted enrollment summary records the restaurant, selected plan and add-ons, prices, billing period, trial, promotion, automatic renewal and terms version. That summary controls specific prices and promotional dates; this agreement controls other service terms. The Privacy Notice describes our processing of personal information. A separately signed agreement controls only to the extent it expressly overrides these documents. Restaurant guest policies do not change your subscription agreement with us.

2. Service and restaurant accounts

We provide hosted restaurant-management tools described in your selected plan. Features may include waitlists, reservations, floor plans, guest communications and staff scheduling. Your subscription covers the enrolled restaurant workspace; adding a different restaurant requires a separate enrollment unless an accepted order states otherwise. You may invite authorized staff and remain responsible for their access and use. Keep business and billing contacts current, safeguard credentials and promptly report suspected unauthorized access. Subscription enrollment does not itself activate a restaurant’s public bookings, messaging channels, imports or guest payments.

3. Plans, add-ons and billing periods

USD per restaurant. Advertised monthly prices require an annual prepaid contract: Core Reservations + Waitlist $99/month equivalent ($1,188 paid annually); Reservations + Guestbook Marketing $219/month equivalent ($2,628 paid annually); Full Service Suite $249/month equivalent ($2,988 paid annually). Month-to-month prices are $119, $269 and $299 respectively. Annual prepayment is a yearly charge, not monthly installments.

Core includes reservations, booking widget, waitlist, floor/timeline, seating and standard toll-free messaging subject to activation. The middle tier adds Guestbook, reports and email marketing. Full Service inherits those and adds staff scheduling and the staff app. AI assistance is not a separately offered add-on. The only optional add-on is local-number SMS: $19/month equivalent when paid annually ($228/year added to the annual invoice), or $29/month month-to-month. It is optional on every tier and not automatically included in Full Service. Previously accepted subscriptions retain their accepted quotes and terms; this publication does not automatically migrate them. Applicable taxes are additional.

* SMS allowance and monthly usage billing

All plans include 2,000 combined incoming and outgoing SMS segments per restaurant per month for guest-service messages in the U.S. Long texts, emoji and some characters can use multiple segments. A segment is not a booking or conversation. The local-number add-on uses the same allowance, not another bundle. Allowances reset monthly, including annual plans.

SMS usage above the included allowance is billed monthly, separately from annual subscription payments. The per-segment overage rate, any registration fees and paid-usage authorization will be disclosed before activation. No overage rate is currently published; automatic extra-usage charging is not activated by selecting a plan. Paid extra usage requires separate authorization at the disclosed rates.

Toll-free messaging activation is pending. Each restaurant requires its own verified sender. Local numbers are subject to verification and availability; a local number does not create guest consent. Reservations + Guestbook Marketing and Full Service Suite include 5,000 marketing emails monthly; campaign delivery requires activation. Unlimited staffing does not mean unlimited messaging.

3A. Messaging allowances, credits and automatic reloads

Planned billing feature; not activated by this draft. Before paid usage or automatic reloads can be enabled, your accepted billing summary must state the included allowance, measurement period and reset rules, usage rates, reload trigger and amount, monthly automatic-reload spending limit, applicable taxes, and purchased-credit rollover, expiry and refund rules. No additional allowance, reload amount, overage rate or credit policy is implied by this draft. A subscription card on file or acceptance of general subscription terms alone does not authorize messaging reloads.

Included messaging allowance is used first; additional authorized usage draws from purchased messaging credits at the accepted rates. Billable incoming and outgoing SMS segments count toward usage. Long messages and certain characters can consume multiple segments. MMS, international destinations and other messaging channels can have different rates and require the relevant disclosure and authorization. Premium local restaurant number and unlimited staff scheduling do not promise unlimited messaging.

If an authorized restaurant billing user separately enables automatic reload, you authorize the Company, through Stripe, to charge your saved payment method for the selected reload amount whenever your available paid credit balance reaches the selected trigger. Reloads may occur more than once per month according to usage but must remain within the selected monthly automatic-reload spending limit, including applicable taxes. We will send a receipt for every successful reload and provide balance and payment-failure notices through billing contacts or the app.

You can disable future automatic reloads or change their settings in Billing when this feature is available. Disabling reload does not cancel the software subscription or reverse completed purchases; purchased-credit rights are governed by the credit policy accepted before purchase and applicable law. An increased reload amount or spending limit requires your authorization. Subscription promotions do not discount usage credits unless the accepted offer expressly includes them.

If payment fails, requires authentication or would exceed the selected limit, no new credits are added. Outbound messages may pause when available allowance and credits are exhausted, while existing reservations remain accessible. Incoming messages and required opt-out processing may continue; their treatment and any included service buffer must be disclosed before activation and cannot authorize charges above your selected automatic-reload limit. We will identify the affected messaging functions and how to restore them.

4. Trial and first payment

The standard free trial is 30 days with self-directed setup and customer support included; guided onboarding is excluded. Its start and end dates appear in the accepted enrollment summary. Selecting a plan or viewing a page does not begin a trial. When secure card setup completes and the subscription is created, the accepted trial begins. Unless you cancel before it ends, the selected monthly or annual prepaid subscription begins automatically and your saved payment method is charged the disclosed amount plus applicable taxes. “Start paid service now” waives that enrollment’s trial and authorizes immediate collection. Trial terms do not promise free third-party registration or unlimited usage; any trial usage charges require prior disclosure and separate acceptance.

5. Promotions

The previous 90-day trial and founding 50%-off campaign are retired for new standard enrollments. Previously accepted enrollment summaries retain their original terms. A separately offered promotion applies only when expressly included in an accepted summary. Annual prepayment does not combine with promotional codes. Offers are not retroactive, transferable cash or permission to repeat trials.

6. Automatic renewal and payment authorization

You authorize the Company, through Stripe, to securely save your payment method and collect the amounts disclosed in the accepted enrollment monthly or annually, according to your selected billing period, until cancellation takes effect. The first annual payment collects the entire yearly amount after the trial. Stripe processes payment details; do not send full card numbers or security codes by chat, email or SMS. Billing dates and invoices appear in Billing. Applicable taxes are additional. Provide accurate billing and exemption information. No undisclosed plan, add-on or guest-processing fee is authorized.

7. Cancellation, refunds and changes

You can stop renewal through the restaurant’s billing page using “Cancel renewal,” or request help at hey@dolorez.com. You do not need to call or negotiate to cancel. Cancellation takes effect at the end of the current paid billing period or free trial, with no subsequent renewal charge. It does not by itself cancel guest reservations, notify guests, delete restaurant data or disconnect the restaurant’s own merchant account. Except where required by law or agreed in writing, paid periods are not partially refundable. Duplicate or erroneous charges will be investigated and corrected. Contact us promptly if an amount is wrong; this does not limit rights that cannot legally be waived. Plan changes require an updated price summary and acceptance before an increased charge. Promotional enrollments must preserve their accepted discount end date when changed; until supported in the app, contact us for an explicit reviewed change. We will give at least 30 days’ advance notice of a subscription price increase, effective no earlier than a later renewal. You may cancel before it applies.

8. Payment failures and continuity

Stripe may retry failed payments and request updated payment details or additional authentication. A failed payment is not successful payment. We will identify a billing issue and provide a reasonable opportunity to resolve it before restricting service for nonpayment. The current rollout does not automatically interrupt live restaurant service merely because billing setup is incomplete. Any later restriction must preserve existing restaurant records and give clear notice and a route to resolve billing. You remain responsible for operating your restaurant and maintaining practical service-continuity procedures.

9. Communications and third-party services

Messaging, email, payment processing, authentication and hosting may depend on third parties and their availability. Delivery, bank authorization and uninterrupted access are not guaranteed. Third-party or usage charges are payable only when included in your enrollment or separately disclosed and accepted. The restaurant must obtain appropriate guest and staff permissions, comply with applicable messaging and marketing rules, and honor opt-outs. Accepting this agreement, entering a phone number or importing contacts does not grant marketing consent. Billing-related notices are separate from guest marketing.

10. Restaurant operations and automation

You control restaurant hours, inventory, staffing, capacities, guest policies and manual operational decisions. Review automated recommendations and messages where appropriate; estimates and suggestions do not guarantee seating, revenue, legal compliance or staffing outcomes. You are responsible for ensuring that your published information is accurate and for resolving dining and reservation disputes with guests. dolorez. is not an emergency service, employer, payroll service or substitute for restaurant supervision.

11. Data, privacy and processing instructions

You retain your rights in restaurant records and remain responsible for a lawful basis to collect and use guest and staff data. You instruct us to process those records to provide, secure, maintain and support your service. For restaurant-controlled personal data, we act as a service provider/processor to the extent applicable law uses those roles; we separately determine necessary account, security and billing processing. We do not acquire ownership of your guest list or permission to sell guest data by hosting it. Access must be limited to authorized staff and service providers. Do not store sensitive identity, medical or full payment-card information in reservation notes.

We use appropriate technical and organizational safeguards and authorized subprocessors for hosting, authentication, communications and payments. We will require appropriate confidentiality and data-protection obligations of processors we engage, assist reasonably with lawful data requests and relevant incident response, and notify affected restaurant customers without undue delay of a confirmed breach of their personal data as required by applicable law. The Privacy Notice and any separately agreed data-processing addendum describe additional details. This agreement does not promise end-to-end encryption, a specific certification or features not actually supplied.

12. Confidentiality

Each party will protect the other’s nonpublic business information using reasonable care, use it only for this relationship, and disclose it only to people and providers with a need to know and appropriate duties. Public information, independently developed information and information lawfully obtained elsewhere are excluded. Legally required disclosure is allowed; where lawful and practicable, give notice and disclose only what is required.

13. Acceptable use and suspension

Do not misuse the service, bypass access controls, access another restaurant’s records, upload unlawful material, send unsolicited communications, infringe others’ rights, interfere with service, or misrepresent payment consent. We may restrict specific activity to address a material security threat, unlawful use or serious breach. Where practicable we will give notice and a chance to remedy it. Suspension must be proportionate; it does not transfer ownership of restaurant records or authorize unrelated charges.

14. Software rights and feedback

The Company and its licensors retain rights in the software, product designs, marks and documentation. While entitled to service, you receive a limited, nonexclusive right to use the hosted service for the enrolled restaurant. No software ownership transfers. You may provide voluntary feedback; we may use it to improve the product without acquiring your restaurant data or confidential information for unrelated purposes.

15. Beta service, warranties and liability

Features identified as beta may change and contain errors. We will use reasonable care in providing the service, but, to the extent permitted by law, provide it “as is” without implied warranties of merchantability, fitness for a particular purpose or noninfringement. There is no contractual uptime guarantee unless separately agreed. Neither party is liable for indirect, special or consequential loss, including lost profit or goodwill, to the extent permitted by law. Each party’s aggregate liability arising from this agreement is limited to subscription fees paid or payable for the affected restaurant in the preceding 12 months. These exclusions and limits do not apply to fraud, willful misconduct, your payment obligations, or liability that cannot legally be excluded or limited. Mandatory legal remedies remain available.

16. Termination, export and retention

Either party may end the agreement for a material breach not remedied within 30 days after written notice, except where urgent security or legal circumstances justify earlier action. Ordinary subscription cancellation follows section 7. After cancellation, we will provide a reasonable opportunity to request export through available product tools or support before deleting restaurant records, subject to lawful retention and backup practices disclosed in the Privacy Notice. No deletion is triggered merely by canceling renewal. Some account, consent, transaction and security evidence may be retained for legal and operational reasons. Do not assume immediate deletion of historical backups or indefinite hosted access after service ends.

17. Future restaurant guest payments

This subscription agreement authorizes software subscription charges only. It does not activate no-show fees, cancellation charges, deposits or ticket sales to guests. Those features require separate restaurant merchant onboarding, restaurant-specific guest policies, appropriate guest payment authorization, refund/dispute handling and any applicable additional terms. Guest funds belong to the relevant restaurant under the chosen payment arrangement; they are not software subscription revenue merely because dolorez. facilitates the workflow.

18. Notices, law and general terms

Send account, billing and legal questions to hey@dolorez.com, or on your left R&D limited, PO Box 487, Crested Butte, CO 81224, United States. We send contractual notices to the account’s billing contact. Colorado law governs, excluding conflict-of-law principles, subject to mandatory applicable law. Disputes may be brought in courts with jurisdiction in Gunnison County, Colorado, without requiring arbitration or waiving nonwaivable rights. The parties are independent contractors. Neither may assign this agreement in a way that diminishes the other’s rights; assignment in a genuine business or product sale is permitted with notice and subject to applicable data, contract and provider restrictions. If a provision is unenforceable, the remaining provisions continue. Changes affecting obligations require clear notice; material changes apply prospectively and cannot silently replace an accepted promotion or authorize increased charges. Electronic acceptance and records may evidence agreement.

Enrollment disclosure: The billing screen and Stripe setup must display your actual amount due now, trial end, discounted monthly amount and duration, regular renewal amount, applicable taxes, and cancellation method. Your acceptance is recorded with the restaurant, authorized user, terms version and immutable enrollment summary.
